These terms apply to all quotes, invoices, and orders with Kuptz Steel Fence LLC. Please review them carefully so you understand your rights and responsibilities as a Kuptz Steel Fence customer.

1. Key Terms
Throughout this agreement, a few terms are used for brevity:

| Products | All fence panels, gates, posts, hardware, accessories, coatings, and related goods. |
| Installer | Any independent contractor or third party you engage to install your materials. |
2. Our Complete Agreement
This document — together with your approved quote, invoice, shipping documentation, warranty, and any written communications we both reference — forms the complete agreement between us.
Any changes to these terms must be confirmed in writing by an authorized Kuptz Steel Fence representative. Verbal conversations, installer statements, and informal discussions are not binding modifications.
3. Placing Your Order
All quotes are proposals until both parties confirm. The quote outlines the materials needed to bring your project to life. We encourage you to review all details carefully and connect with your salesperson before making any payment. We want to make sure everything you need for your installation is correct. Your quote will become final once you do any of the following:
- Approval of the quote
- Pay a deposit or full invoice
- Complete our shipping survey
- Accept delivery of materials
Once confirmed, your pricing, quantities, and specifications are locked in.
4. After You Order — What to Expect
Following order confirmation, we'll send you a welcome package that may include:
- A copy of your approved estimate or proposal
- Warranty documentation
- A shipping information request
- Delivery and unloading guidelines
- Invoice and payment instructions
Please review all materials carefully. Confirming accuracy upfront helps avoid delays and ensures your order arrives exactly as expected.
5. Pricing, Taxes & Payment
Prices are confirmed at the time of order acceptance. Here's a summary of payment-related items:
| Your responsibility | Sales tax, use tax, freight charges, delivery surcharges, and any applicable government fees. |

| Payment timing | Invoices are due per the stated terms on your invoice. |
| Late balances | May accrue interest at 1.5% per month (or the legal maximum, whichever is less). |
| Production holds | We may pause production or shipment if a balance remains unpaid. |
6. Order changes, cancellations, and returns
Because we source and reserve materials exclusively for your project, we're unable to accept returns or offer refunds once payment has been received.
- Changes to confirmed orders require written approval and may affect pricing or delivery timing.
- Custom orders cannot be cancelled once production has begun.
- Cancellation fees are 5% of the invoice total, plus 50% of shipping cost if the order is already scheduled for shipping.
We want to get your order right the first time — reach out early if you have concerns.
7. Shipping, Delivery & Unloading
Delivery dates are estimates. Carrier timing can vary, and we are not liable for delays caused by freight carriers.
What we need from you for a smooth delivery:
- Communication with the shipper to schedule your delivery
- Clear site access for the delivery vehicle
- Appropriate unloading equipment and labor
- Safe storage for materials after drop-off
Responsibility for the products transfers to you upon pick up by the carrier at our warehouse.
When an order is picked up by a third party, our team will walk through a full inventory review with them and collect signed confirmation that everything was received in full. Please note that once materials leave our warehouse with a third-party carrier or representative, responsibility for safe delivery transfers to the party handling transportation.
8. Inspecting Your Delivery
We want you to be completely satisfied with everything you receive. Please inspect and count all materials as soon as your order arrives, and let us know right away if anything looks off.
We're committed to making it right for any concerns reported within 90 days of delivery. After 90 days, orders are considered complete and closed out.
Claims for shipping damage, missing materials, quantity shortages, or visible defects must be submitted in writing with supporting photographs within 72 hours of delivery. Claims received after this window may not be honored.
9. Storing Your Materials
To protect your investment before installation, please store all products:
- In a dry, well-ventilated area, off the ground
- Away from standing water
- Per the installation guidance included with your order
Improper storage can void warranty coverage, so following these steps protects your purchase.
10. Installation
Kuptz Steel Fence is a materials supplier, not an installation contractor. We do not supervise, employ, or control any installer.
As the customer, you are responsible for:
- Choosing and vetting your installer
- Site preparation and layout verification
- Confirming accurate measurements
- Obtaining required permits
- Installation methods and labor performance
Any installer information we share is provided as a convenience, not an endorsement. We encourage you to independently verify credentials, insurance, and references. We are not responsible for installer workmanship, delays, representations, or damages.
11. Product Warranty
Your warranty coverage is fully detailed in the separate Warranty Agreement provided at purchase.
What warranty does not cover:
- Labor, equipment, or excavation costs
- Freight or reinstallation charges
- Temporary fencing during repair
- Loss of use, animal injury, or property damage
12. Warranty Exclusions
The following conditions are not covered under warranty:
Fence performance varies based on animal type, usage intensity, environmental exposure, and maintenance. Proper care extends product life significantly.
13. Our Liability to You
We stand behind our products. If an issue arises that is our responsibility, our total liability is limited to the amount you paid for the affected products.
Consequential or incidental damages, lost profits, business interruption, livestock losses or injuries, replacement labor costs, or delay-related damages.
14. Events Beyond Our Control
Occasionally, circumstances outside our control can affect production or delivery timelines — including weather, transportation disruptions, supply shortages, labor interruptions, utility outages, or government actions. In these situations, delivery schedules will be extended accordingly, and we will communicate updates as promptly as possible.
15. Governing Law
This agreement is governed by the laws of the State of Colorado. Any disputes will be resolved exclusively in the courts located in Colorado.
16. Resolving Concerns
Before any formal legal action, both parties agree to make a genuine, good-faith effort to resolve the issue directly for a period of 30 days following written notice. We value our customer relationships and prefer conversation over litigation.
